Drafting and negotiating option agreements

An option agreement is a legally binding contract that grants a prospective buyer or developer the exclusive right to purchase land or property within a defined period on terms agreed at the outset. In exchange, the buyer pays an option fee to the landowner, which is typically non-refundable. The agreement only crystallises into a binding sale if the buyer chooses to exercise their right.

These arrangements are particularly common in property development, where a developer needs time to assess a site’s viability, pursue planning permission, or secure financing before committing to an outright purchase. For landowners, a well-structured option agreement can provide immediate financial reward through the option fee while preserving the opportunity to share in any uplift in value once planning consent is obtained.

 

Getting the terms right at the drafting stage is critical. The key provisions that demand careful attention include the length of the option period, the mechanism for calculating the purchase price, any conditions that must be satisfied before the option can be exercised, and the rights and obligations of each party in the interim period. Advising on option periods, conditions, and exercise

The option period is the window during which the buyer may act. This may run from six months to several years, depending on the nature and scale of the transaction. In many cases, the option period is tied to a specific trigger event, most commonly the grant of planning permission, but it can equally be linked to the resolution of title issues, the completion of infrastructure works, or other agreed milestones.

When the buyer is ready to proceed, the option is exercised by serving formal notice on the landowner, often accompanied by a deposit. Once exercised, the agreement becomes a binding contract for sale. Neither party can then withdraw without consequence. We advise on the procedural requirements for exercising an option and ensure the process is handled correctly so that the validity of the exercise cannot later be challenged.

Where the agreement includes a purchase price formula, particularly one tied to market value or planning gain, careful attention must be paid to the valuation methodology and any dispute resolution mechanism. We work alongside clients and their valuers to interpret pricing provisions and, where necessary, represent clients in negotiations or formal disputes about the agreed price. Advising on pre-emption rights and put options

Alongside traditional call options, our commercial property team regularly advises on related arrangements, including pre-emption rights and put options. A pre-emption right, sometimes called a right of first refusal, does not grant the holder the right to purchase outright but obliges the landowner to offer the property to the holder first should they decide to sell. A put option, by contrast, gives the landowner the right to require the buyer to proceed with the purchase within the option period, rather than leaving the decision entirely with the buyer.

Protecting and registering option agreements

To be binding on third parties, an option agreement or pre-emption right affecting registered land in England and Wales must be protected by registration at HM Land Registry. Failure to register can leave a buyer’s rights vulnerable if the landowner sells or mortgages the property to a third party in the meantime. We advise clients on the importance of early registration and handle the necessary filings as part of our service, ensuring the option is protected throughout its duration.

Where a transaction also involves overage provisions, providing for additional payments to the seller if the land is later developed beyond the terms anticipated at the point of sale, we can advise on how those arrangements interact with the option.
