What is a lease surrender?

A lease surrender is a consensual termination of a commercial lease before the contractual expiry date, documented in a deed of surrender. The deed will usually set out the surrender date, how rent and other sums will be dealt with, and what happens to liabilities up to that point.

There is no automatic right for a tenant to surrender; the landlord must agree. Once a surrender takes effect, the tenant’s obligations for future rent and other lease covenants fall away, although responsibility for arrears and prior breaches usually remains unless specifically released.

Lease surrenders can be useful where:

  • A tenant is downsizing, relocating or restructuring and no longer needs the space.
  • A landlord wants to regain possession to re‑let, refurbish or redevelop the property.
  • The parties wish to reset their relationship, for example by surrendering one lease and granting a new lease of different premises.

Lease Surrenders & Variations

It is not always necessary to bring the existing lease to an end; a variation of the lease terms can achieve the desired outcome. A deed of variation allows the parties to amend particular provisions, such as the term, rent, user clause or repairing obligations, while leaving the rest of the lease intact.

Examples where a variation might be appropriate include:

  • Extending or shortening the contractual term or introducing a new break clause.
  • Changing rent review provisions or adjusting service charge mechanisms.
  • Changing the permitted use or altering responsibility for specific repairs and reinstatement.
