Acting for both lenders and borrowers

Secured lending transactions involve two distinct sets of interests, and the legal advice required by each party differs accordingly. For lenders, we carry out comprehensive due diligence on the proposed security, investigate title to the property, advise on the enforceability of the charge, and ensure that all documentation is in order before funds are released. Legal charges, mortgages, and debentures

The most common form of security in property-backed lending is a legal charge, registered at HM Land Registry against the title to the property. Depending on the nature and structure of a transaction, however, security may also be taken by way of a debenture, a fixed charge over specific assets, a floating charge over a company’s assets generally, or a combination of these instruments. We advise on the most appropriate form of security for each deal and ensure it is correctly created and perfected.

Proper registration is not an optional step. It is what gives a charge its priority and enforceability. A charge that is not registered at Land Registry, or at Companies House where the borrower is a corporate entity, may lose its priority or prove unenforceable entirely in the event of a dispute or insolvency. We manage these registrations meticulously on behalf of our clients, and we can help with all post-completion compliance so that nothing is left outstanding.

Development finance and construction lending

Financing a development project carries a different risk profile than a straightforward acquisition loan, and the legal documentation needs to reflect that. Development lending typically involves phased drawdowns, conditions precedent, and ongoing monitoring requirements that add both complexity and time pressure to transactions. Getting the structure right from the outset is essential.

We work with developers and their funders to put in place arrangements that function properly in practice, not just on paper.
